Digital Image License Agreement (Personal Use)

This Digital Image License Agreement is made and effective at the point of sale between Just as Beautiful Imagery, LLC (hereinafter referred to as the "Licensor") and you, the purchaser (hereinafter referred to as the "Licensee"). Your purchase is final and constitutes your agreement to the terms below:


1. Grant of License and Permitted Use

The Licensor hereby grants to the Licensee a non-exclusive, non-transferable right to use the Image solely for personal, non-commercial purposes, subject to the terms of this Agreement. Permitted uses include:

  • Printing the Image for private display in a home or office.
  • Using the Image on personal, non-monetized social media accounts or websites.
  • Making copies of the Image for personal backups.


2. Non-Transferability

This license is personal to the Licensee and may not be assigned, sublicensed, or otherwise transferred to any other person or entity without the Licensor’s prior written consent


3. Prohibited Uses (Commercial Use is Not Allowed)

The Licensee shall not make use of the Image for any commercial purpose, including, but not limited to:

a. Advertising, marketing, or promotional use for any business. b. Publishing in magazines, books, commercial websites, or any print/digital publication intended for sale or profit. c. Use in video, movies, or broadcast media. d. Resale, redistribution, or sub-licensing of the digital file or printed image.


4. Ownership and Copyright

The Licensee agrees that the rights granted in this Agreement are solely license rights, and this purchase shall not be construed as an assignment or sale of any rights. The Licensor retains all rights, license, copyright, ownership, and title of the Digital Image.


5. Term and Termination

a. Term: The license granted herein shall be effective in perpetuity (forever) unless terminated earlier in accordance with the terms below. b. Termination by Licensor: This Agreement shall automatically terminate immediately if the Licensee breaches any clause of this Agreement, including using the Image for any prohibited commercial purpose or challenging the Licensor's ownership. c. Effect of Termination: Upon termination, all rights granted to the Licensee immediately cease, and the Licensee shall delete or destroy all digital and physical copies of the Image, except one backup retained solely for record-keeping.


6. Warranties and Alterations

a. Licensor's Warranty: The Licensor warrants that they hold rightful title to the Image and all rights attached to this Image, including copyright and the right to license. b. No Alterations: The Licensee agrees not to make significant alterations to the Image (such as heavy filtering, manipulation, or cropping that dramatically changes the composition). Minor cropping or resizing necessary for personal printing or social media posting is permitted.


7. Indemnification

The Licensee agrees to indemnify and hold harmless Just as Beautiful Imagery LLC from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of the Licensee’s misuse of the Image or violation of this Agreement.


8. General Provisions

a. Governing Law: Any dispute related to this Agreement will be tried under the laws of the State of Missouri, United States of America. b. Severability: If any provision of this Agreement becomes invalid or non-enforceable in a court of law, the rest of the Agreement will not be affected. c. Modification: This Agreement may not be modified except in writing with the express consent of both parties.


9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 15 days' notice prior to any new terms taking effect. By continuing to make purchases after any revisions become effective, you agree to be bound by the revised terms.


10. Entire Agreement and Severability

The Digital Image License Agreement (Personal Use), together with the Terms of Sale, and our Privacy Policy, constitute the entire agreement between you and Just as Beautiful Imagery LLC regarding your purchase. If any provision of these terms is found invalid of unenforceable, the remaining provisions shall remain in full force and effect.
